Terms of Services

Please take the time to read the following.Acceptance of a commission is dependent on initial interview/proposal whether or not it fits within the services provided by Tsumomoca. The artist has the right to refuse a commission request for any reason. This may include complexity, topic that makes the artist uncomfortable, etc.Please be specific or clear in your request. Provide examples of what you’re looking for if needed. Vague directions may result in request rejection.Please keep in mind the artist is also making improvements so there may be slight changes in art style.ToS change does not happen often, but is subject to at any time.Upon receipt of an initial submission of our Contact Form and/or Payment/Deposit,
the client accepts all Terms and Conditions in Good Faith.

Licenses-Reservations of Rights
All rights not expressly granted are reserved to Tsumomoca [Illustrator], including but not limited to all rights in sketches, comps, or other preliminary materials.-Illustrator Media Usage
Tsumomoca retains all rights to post, display, document commissioned work for their own media platforms including, but not restricted to social media, portfolios, and galleries.-Rights and usage
Any project that is purchases is subject to the following license types:Individual usage: The artwork won't be used to generate any sort of profit. Personal use only.
-i.e. personal device wallpaper, printing for yourself [not for selling], etcBusiness usage: The artwork could be used to generate income. Has connections with business activities.
-i.e. branding, marketing materials, social media promotions, Twitch, Youtube, etcClient does not have the rights to sell, transfer, distribute or copy any of the digital content without prior expressed permission. Client must communicate intent with Tsumomoca for distribution prior to project finalization. In the case Client has selected to pay in full for project initiation and wishes to add additional usage rights, they agree to pay the additional usage fees before project delivery.Works centered for print and merchandise must be discussed with Tsumomoca before retail sale of products. Failure to comply may result in Legal Action-Authorship Credit
Authorship credit in the name of the Illustrator[Tsumomoca] shall accompany the Work when it is reproduced. If the finished art is used as a contribution to a magazine or for a book, authorship credit shall be given unless specified to the contrary by Tsumomoca.Watermarks and signatures cannot be removed and/or cropped. Commissioned art cannot be altered in any way without Tsumomoca's consent.-Copyright Notice
Client cannot claim the Tsumomoca’s works and/or designs as their own.-Usage Rights Fees
Client agrees to pay for the usage rights granted. Client agrees to also pay sales tax, if required.-Additional usage
In the case Client wishes to make any additional uses of the Work. Client agrees to seek permission from Tsumomoca and pay an additional fee to be agreed upon.
Payment
Client agrees to pay remaining balance in full to Tsumomoca within 14 days of the date of Invoice sent, which is dated as the date of art completion. Only after full payment is received can the completed art be delivered for download and use. Overdue payments shall be subject to interest charges of 10 percent monthly.Payment is to be completed via Paypal in USD.All Payments are final.All payments are subjected to Taxes and Fees. All Taxes and Fees are non-refundable.-Deposit
Client must agree to pay a deposit or in full before Tsumomoca starts any work according to project:Any orders under $100 must be paid in full upfront.Any orders above $100 require a 50% non-refundable deposit upfront.-Expenses
If Tsumomoca incurred reimbursable expenses, a listing of such expenses is attached to the Invoice with copies of supporting documentation. Client agrees to pay for expenses including, but not restricted to material costs, travel for consultation and appointments.-Cancellation
In the event of cancellation by the Client and Client has elected to pay the project in full, the Client accepts that no refund will be given.In the event of cancellation by Tsumomoca, a portion of payment may be refunded. Timeline and amount will be determined by Tsumomoca.Working Process-Drafts and Revisions
Tsumomoca[Illustrator] will provide multiple rounds of drafts to Client for revision and feedback. Drafts are generally free in most cases but may be subject to additional charges if drafting and revisions becomes excessive. Overly excessive attempts at altering initial project terms may also be considered frivolous in nature and may result in cancellation WITHOUT refund. Number of revisions provided will be determined by Tsumomoca.Any final revisions that are at fault on the part of Tsumomoca, the error will be fixed free of charge.Drafts are not permitted to be shared outside of project communications without Tsumomoca’s explicit permission. Violation may result in legal action.Ownership of Artwork. The ownership of original artwork, including sketches and any other materials created in the process of making the finished art, shall remain with Tsumomoca.-Rush Orders
Rush orders are currently not accepted at this time. We ask the Client to be patient with their order. Tsumomoca will do their utmost best to provide an accurate estimate for time of completion.CommunicationAll Client communication must be timely and written. If Client fails to communicate in an effective and timely manner, Tsumomoca reserves the right to cancel the project without refund. This includes failing to provide adequate materials or references needed to complete the projects, failing to communicate in a professional manner.Preferred forms of communication are: Discord, Email, Direct MessagingFile ManagementAll final assets will be held and maintained in Tsumomoca’s shared Google Drive for 6 months before files are archived.Tsumomoca holds full rights to all source files for all projects.Legal-Permissions and Releases
The Client shall indemnify and hold harmless to Tsumomoca[Illustrator] against any and all claims, costs, and expenses, including attorney’s fees, due to materials included in the Work at the request of the Client for which no copyright permission or privacy release was requested or uses which exceed the uses allowed pursuant to a permission or release.-Upon Breach of Contract
Client acknowledges that in the event of an unauthorized contract breach, Tsumomoca may seek equitable relief as well as monetary damages incurred against a party that breaches this agreement.-Arbitration
All disputes shall be submitted to binding arbitrations in California and settled in accordance with the rules of the American Arbitration Association. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof.-Complete Agreement
This Agreement contains all of the agreements, understandings, presentations, conditions, warranties, and covenants made between the parties hereto. This Agreement shall be interpreted in accordance with the laws of the State of California. No representations, promises or agreements, oral or otherwise, concerning the subject matter of this Agreement other than those embodied in the Agreement shall be valid or binding. All modifications and amendments hereto must be in writing.This Agreement shall be governed by the laws of the State of California, the state in which this Agreement is being executed.Miscellany-NFTs
It is strictly forbidden to sell or resell commissioned art as NFTs.-AI Usage
It is strictly forbidden to use commissioned art for Artificial Intelligence Art Generators purposes.
